It can be tempting to skip over Terms of Service, but these Terms are important because they explain what you can expect from WP Perimeter and what we expect from you when you use our website, software, licensing, and related services.
These Terms and Conditions govern your purchase, installation, access to, and use of WP Perimeter, the WPPerimeter.com website, the WP Perimeter Members Portal, software downloads, licensing services, updates, and related support services.
WP Perimeter is a product of Wumbo. For purposes of these Terms, “WP Perimeter” may be referred to as “WP Perimeter,” “Wumbo,” “we,” “our,” or “us.” “You” and “your” refer to the person or organization purchasing, installing, accessing, or using WP Perimeter.
By purchasing a license, creating an account, downloading or installing WP Perimeter, or otherwise using our website or services, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not purchase, install, or use WP Perimeter.
1. About WP Perimeter
WP Perimeter is a WordPress plugin designed to strengthen the security of WordPress websites, with a major focus on access to administrative and other protected areas of WordPress. This is where many significant vulnerabilities may exist.
WP Perimeter may provide features including verified logins, one-time authentication codes, session controls, brute-force protection, account monitoring, REST API protection, file and configuration monitoring, detection of suspicious changes, and other security-related functions.
Features may be added, modified, replaced, or discontinued as WP Perimeter develops.
2. No Security System Is Absolute
WP Perimeter is designed to improve WordPress security and reduce the risk of unauthorized access, malicious activity, and unauthorized changes. However, no software, security plugin, hosting environment, network, server, website, or security system can provide complete protection against every threat. That is especially true when a threat is already embedded before any security software is installed.
WP Perimeter does not guarantee that your website cannot or will not be hacked, compromised, infected with malware, damaged, disabled, altered, accessed without authorization, or experience data loss or downtime.
New vulnerabilities, attack methods, software conflicts, configuration errors, compromised hosting accounts, stolen credentials, malicious plugins or themes, server vulnerabilities, and other circumstances outside WP Perimeter's control may affect the security of your website.
You remain responsible for maintaining appropriate backups, WordPress updates, plugin and theme updates, secure hosting, strong credentials, server security, and other reasonable security practices.
3. License to Use WP Perimeter
When you purchase an active WP Perimeter subscription, we grant you a limited, revocable, non-exclusive, non-transferable right to install and use WP Perimeter according to the license plan you purchased.
A standard single-site license may be activated on one domain name only.
If you wish to use WP Perimeter on additional websites, you must purchase additional individual licenses or a multi-site license that permits the appropriate number of activations.
Unless specifically authorized by your license plan, you may not share, sell, transfer, sublicense, rent, distribute, or provide your WP Perimeter license key to another person or organization.
4. Multi-Site Licenses
Multi-site licenses permit WP Perimeter to be activated on up to the number of websites stated in the applicable subscription plan.
Each activation must be associated with a website owned, operated, or managed by the license holder unless WP Perimeter expressly authorizes another use.
Purchasing a multi-site license does not transfer ownership of WP Perimeter software or grant redistribution, resale, white-labeling, or sublicensing rights.
5. Account and License Security
You are responsible for maintaining the confidentiality and security of your WP Perimeter account credentials and license information.
You are responsible for activity conducted through your account unless the activity results directly from a security failure within systems controlled by WP Perimeter.
If you believe your account or license key has been compromised, you should contact us promptly.
We may disable, replace, or otherwise secure a license key that we reasonably believe has been stolen, shared without authorization, publicly distributed, abused, or used in violation of these Terms.
6. Subscription Terms
WP Perimeter may be offered through monthly, annual, or other subscription plans.
Your subscription begins when your payment is successfully processed and remains active for the billing period associated with the plan you selected.
While your subscription remains active and in good standing, you may use WP Perimeter according to the terms of your license and receive any updates or services included with your subscription.
7. Automatic Renewal
Your WP Perimeter subscription will automatically renew at the end of each billing period unless you cancel before the scheduled renewal date. A renewal grace period is described below.
By purchasing a recurring subscription, you authorize us and our payment processor to charge the applicable renewal fee to your payment method at each renewal.
The renewal amount will be based on the applicable subscription price at the time of renewal, subject to any pricing commitments or notices required by applicable law.
You may cancel your subscription through the Members Portal Helpdesk or by contacting our support team.
It is your responsibility to maintain your subscription. If your subscription expires because we are unable to renew your membership automatically, your WordPress site will be returned to its normal state.
Cancellation prevents future renewals but does not ordinarily terminate access during a billing period that has already been paid for.
8. 30-Day Money-Back Guarantee
Our 30-Day Money-Back Guarantee applies to eligible single-license subscriptions and only applies if you are a first-time user of WP Perimeter.
If you are a first-time WP Perimeter customer purchasing an eligible single-site license, you may use WP Perimeter for up to 30 days from your original purchase date. If you decide during that period that WP Perimeter is not right for you, you may request cancellation and a refund of the amount paid for that license.
Refund requests must be submitted within 30 days of the original purchase date.
Multi-license subscriptions are nonrefundable and are not covered by the 30-Day Money-Back Guarantee.
9. Accidental Renewal Grace Period
We understand that customers occasionally intend to cancel a subscription and forget to do so before the renewal date.
If your subscription renews automatically and you did not intend to renew it, you may request cancellation and a full refund of the renewal charge within 30 days of the renewal date.
Refund requests submitted more than 30 days after the renewal date are not eligible for this renewal grace-period refund.
Multi-license subscriptions are refundable under this grace period. If your multi-license subscription renews automatically, you have 30 days to cancel the renewal and request a refund.
10. Cancellation
You may cancel your WP Perimeter license subscription at any time. WP Perimeter does not prorate fees, charges, or applicable taxes associated with the Service upon termination or cancellation and does not refund amounts already charged except where expressly provided under these Terms.
Your current license will remain active through the end of the billing period for which you have already paid.
WP Perimeter will reasonably attempt to send a cancellation confirmation to the email address associated with your account. You should retain this confirmation as a record of your cancellation. If you do not receive a confirmation, you should contact us to verify that your cancellation request was received.
11. Failed Payments
If a subscription payment or renewal payment fails, we will make up to three attempts to process the payment again.
If payment cannot be completed, your subscription and license may be suspended, restricted, or terminated.
WP Perimeter functionality depends upon an active license or continued access to WP Perimeter services. Features requiring an active subscription will no longer operate after the subscription expires or is terminated.
If your WP Perimeter license expires, your WordPress site will return to its normal state. When you log in, you will no longer be prompted to enter a code or receive an email containing one. Alerts, monitoring, updates, and other protections that depend upon an active WP Perimeter license will cease to function.
12. Software Updates
Active subscribers may receive WP Perimeter software updates when updates are made available for their license plan.
Updates may include security improvements, compatibility changes, bug fixes, new functionality, modified functionality, or removal of features that are obsolete, unsafe, incompatible, or no longer practical to maintain.
Users with active licenses will be notified whenever the plugin is updated. However, it remains your responsibility to ensure that WordPress, WP Perimeter, and your other plugins and themes are kept appropriately updated.
Not every plugin update occurs automatically. We may notify active subscribers when new WP Perimeter updates are released.
We may at times require customers to manually install a current version of WP Perimeter to maintain compatibility, security, licensing functionality, or access to support.
We cannot guarantee that older versions of WP Perimeter will remain compatible with future versions of WordPress, PHP, web servers, hosting platforms, themes, plugins, browsers, or third-party software.
Please note: New updates are installed over the existing version of WP Perimeter. If you deactivate and delete WP Perimeter, all of your settings and license information will also be removed. Therefore, never delete the software unless you intend to remove it completely from your WordPress environment.
13. WordPress, Plugin, and Theme Compatibility
WordPress websites can contain thousands of combinations of themes, plugins, hosting configurations, caching systems, security products, server environments, and custom code.
Although we make reasonable efforts to maintain broad compatibility, we cannot guarantee that WP Perimeter will operate without conflict in every possible WordPress environment.
You are responsible for determining whether WP Perimeter is appropriate for your particular website and configuration.
14. Backups
You should maintain current and reliable backups of your WordPress website, files, and databases.
You should also maintain a recovery method that does not depend exclusively on access to the affected WordPress installation.
WP Perimeter is not a substitute for an independent website backup and disaster recovery system.
15. Customer Responsibilities
You are responsible for the administration and security of your website and hosting environment.
This includes, where applicable:
- Maintaining WordPress, themes, and plugins;
- Removing abandoned or vulnerable software;
- Using secure passwords and account credentials;
- Protecting hosting and server credentials;
- Maintaining reliable backups;
- Reviewing security notifications;
- Investigating suspicious activity;
- Maintaining appropriate server and file permissions; and
- Taking reasonable action when WP Perimeter identifies or reports a potential security concern.
WP Perimeter cannot protect against risks created by security weaknesses or activities entirely outside the areas WP Perimeter is technically capable of monitoring or controlling.
16. Permitted Use
WP Perimeter may be used only for lawful purposes and only on websites or systems that you own, operate, administer, or have authorization to manage.
You may not use WP Perimeter to gain unauthorized access to another person's website, network, account, server, or computer system.
You may not intentionally use WP Perimeter in a manner designed to damage, disrupt, overload, probe, attack, or interfere with WP Perimeter infrastructure or the infrastructure of another party.
You may not alter any of WP Perimeter’s code, PHP files, or related components.
17. Prohibited Activities
Except where applicable law expressly provides otherwise, you may not:
- Resell or redistribute WP Perimeter without written authorization; please inquire about any affiliate programs we may offer.
- Publish or distribute your license key;
- Circumvent license activation or subscription controls;
- Use one license on more websites than your plan permits;
- Remove or alter proprietary notices;
- Repackage WP Perimeter and represent it as your own product;
- Use WP Perimeter or its services for unlawful purposes;
- Attempt to gain unauthorized access to WP Perimeter systems;
- Intentionally interfere with WP Perimeter licensing or update systems; or
- Use WP Perimeter in a manner that infringes the rights of another person or organization.
Violation of these restrictions may result in suspension or termination of your license.
18. Ownership and Intellectual Property
WP Perimeter, its branding, website content, documentation, proprietary services, graphics, logos, interfaces, and other original materials are owned by or licensed to Wumbo and are protected by applicable intellectual property laws.
Purchasing a WP Perimeter subscription gives you permission to use the software according to your license. It does not transfer ownership of WP Perimeter or its intellectual property to you.
All rights not expressly granted under these Terms are reserved.
19. Third-Party Software and Services
WP Perimeter operates within an ecosystem that includes WordPress, hosting companies, web servers, email providers, payment processors, browsers, plugins, themes, APIs, operating systems, and other third-party technologies.
We do not control these third-party products or services and are not responsible for their availability, security, performance, policies, modifications, failures, or compatibility.
A failure or vulnerability in a third-party product or service does not constitute a failure of WP Perimeter.
20. Email and Security Notifications
Certain WP Perimeter features may rely on email delivery, including authentication codes, account notifications, security alerts, or other messages.
Email delivery can be affected by hosting environments, spam filters, DNS configuration, email providers, mail servers, firewalls, network failures, hacking, and other systems outside our control.
We cannot guarantee the delivery or timing of every email message.
You are responsible for maintaining a valid email address and for ensuring that messages from WP Perimeter can be received.
WP Perimeter may also offer alternative notifications through third-party applications such as Slack and Pushover. WP Perimeter is not affiliated with these applications and is not responsible for the availability, performance, or policies of those services.
21. Support
Support is provided according to the level of service included with your subscription.
We will make reasonable efforts to assist customers with WP Perimeter installation, licensing, configuration, and product-related issues. We will not be troubleshooting other WordPress issues.
Unless specifically included in a purchased service, WP Perimeter support does not include complete website administration, malware removal, server administration, repair of unrelated plugins or themes, custom development, recovery of lost data, or remediation of security incidents caused by third-party products or compromised infrastructure.
22. Suspension or Termination
We may suspend or terminate access to WP Perimeter services or licensing when we reasonably determine that:
- A subscription has expired or payment has failed;
- A license is being used beyond its permitted activation limit;
- A license key has been improperly distributed;
- An account is being used fraudulently;
- Our systems are being attacked or abused;
- These Terms have been materially violated; or
- Suspension is reasonably necessary to protect WP Perimeter, our customers, or our infrastructure.
Where practical, we may provide an opportunity to resolve the issue before permanent termination.
23. Privacy
Your use of WP Perimeter and WPPerimeter.com is also subject to our Privacy Policy.
Our Privacy Policy describes the information we collect, how that information is used, and circumstances in which information may be processed by service providers.
24. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WP PERIMETER AND RELATED SERVICES ARE PROVIDED ON AN “AS AVAILABLE” AND “AS IS” BASIS.
WE DO NOT WARRANT OR GUARANTEE THAT WP PERIMETER WILL DETECT, BLOCK, PREVENT, OR REMEDIATE EVERY ATTACK, VULNERABILITY, MALWARE INFECTION, UNAUTHORIZED LOGIN, FILE CHANGE, DATABASE CHANGE, ACCOUNT CHANGE, SECURITY INCIDENT, OR OTHER THREAT.
WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, CONTINUOUS AVAILABILITY, OR COMPATIBILITY WITH EVERY WORDPRESS CONFIGURATION, HOSTING ENVIRONMENT, PLUGIN, THEME, SERVER, OR THIRD-PARTY SERVICE.
TO THE EXTENT PERMITTED BY LAW, ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS ARE DISCLAIMED.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WP PERIMETER, WUMBO, [LEGAL COMPANY NAME], AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE WP PERIMETER.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OR CORRUPTION OF DATA, WEBSITE DOWNTIME, LOSS OF SEARCH ENGINE RANKINGS, DAMAGE TO REPUTATION, SECURITY BREACHES, MALWARE INFECTIONS, UNAUTHORIZED ACCESS, OR COSTS ASSOCIATED WITH RESTORING OR REPAIRING A WEBSITE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO WP PERIMETER OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO WP PERIMETER FOR THE APPLICABLE SUBSCRIPTION DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain exclusions or limitations of liability. Where such restrictions apply, these limitations will apply only to the maximum extent permitted by law.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless WP Perimeter, Wumbo, and their owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from:
- Your use of WP Perimeter;
- Your material violation of these Terms;
- Your infringement of another party's rights; or
- Websites, systems, or content that you operate using WP Perimeter.
This provision does not require you to indemnify WP Perimeter for claims arising solely from WP Perimeter's own conduct where such indemnification would be prohibited by law.
27. Changes to WP Perimeter
We may modify WP Perimeter, its features, license plans, pricing, services, or technical requirements from time to time.
Where required by applicable law, we will provide notice before material changes affecting an existing paid license take effect.
Continued use of WP Perimeter after an applicable change becomes effective constitutes acceptance of the revised service, subject to any rights provided by law.
28. Changes to These Terms
We may update these Terms to reflect changes in WP Perimeter, our business practices, legal requirements, security requirements, or other legitimate business needs.
The current version of these Terms will be made available on WPPerimeter.com and will display its effective date.
Material changes will be communicated as required by applicable law.
29. Governing Law and Disputes
These Terms are governed by the laws of the State of ARIZONA, without regard to conflict-of-law principles, except where applicable consumer protection law requires otherwise.
To the extent legally permitted, any legal proceeding arising from these Terms or WP Perimeter will be brought in the state or federal courts located in Pinal County, Arizona, and you consent to the jurisdiction of those courts.
Nothing in this section eliminates rights that cannot legally be waived under applicable consumer protection law.
30. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permitted or removed to the minimum extent necessary.
The remaining provisions will continue in effect.
31. No Waiver
Our decision not to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision in the future.
32. Assignment
You may not transfer or assign your WP Perimeter license or membership or your rights under these Terms without our written permission.
We may transfer or assign our rights and obligations in connection with a merger, acquisition, sale of assets, corporate restructuring, or transfer of the WP Perimeter business, subject to applicable law. Furthermore, you may not share, sell, rent, or give your license to anyone else.
33. Entire Agreement
These Terms, our Privacy Policy, the subscription and licensing terms presented during your purchase, and any additional written agreement expressly entered into between you and WP Perimeter constitute the agreement governing your use of WP Perimeter.
If a specific written agreement between you and WP Perimeter expressly conflicts with these Terms, the specific written agreement will control with respect to that conflict.
